INTRODUCTION AND FUNDAMENTAL PRINCIPLES
1. Purpose and Scope
1.1 This Third-Party Service Delegation Framework ("Framework") establishes the comprehensive terms, conditions, procedures, and limitations governing all referrals made by Oliva DB Properties Co. L.L.C S.O.C ("Oliva," "Company," "we," "us," or "our") to independent third-party service providers ("Third-Party Providers" or "Service Providers") in connection with our real estate brokerage services.
1.2 This Framework applies to all categories of third-party services including, without limitation:
- mortgage financing and banking services;
- property management and lettings services;
- property inspection, snagging, and survey services;
- legal and conveyancing services;
- tax advisory services;
- currency exchange and international payment services;
- interior design and property fit-out services;
- moving and relocation services;
- insurance services; and
- any other ancillary services facilitated through introduction by Oliva.
1.3 Document Hierarchy: This Framework is supplementary to and shall be read in conjunction with our Terms and Conditions, Privacy Policy, and Key Risks Disclosure. In the event of any conflict or inconsistency between this Framework and our Terms and Conditions, the Terms and Conditions shall prevail. References to defined terms not otherwise defined herein shall have the meanings ascribed to them in our Terms and Conditions.
2. Core Principle: Introduction Only
2.1 FUNDAMENTAL PRINCIPLE: When Oliva refers you to any Third-Party Provider, Oliva acts solely and exclusively as an introducer. We provide contact information and facilitate initial introductions only. We do not provide, perform, supervise, control, or guarantee any third-party service.
2.2 This fundamental principle has the following legal and practical consequences:
- Direct Contractual Relationship: Any services you receive from a Third-Party Provider are provided directly to you under a separate contract between you and that provider. Oliva is not a party to, and has no obligations under, any such contract.
- No Agency: Our referral does not create any agency relationship between Oliva and the Third-Party Provider, nor does it extend our agency relationship with you (if any) to cover third-party services.
- No Control: We have no control over, and accept no responsibility for, any Third-Party Provider's quality of service, pricing, timeliness, professional standards, licensing compliance, or business practices.
- No Vicarious Liability: Consistent with UAE Civil Code Article 313, we do not have supervisory authority or direction over Third-Party Providers and accordingly do not bear vicarious liability for their acts or omissions.
- Independent Due Diligence Required: You are solely responsible for evaluating and selecting any Third-Party Provider and for verifying their credentials, licensing, insurance, and suitability for your needs.
3. Regulatory Context
3.1 Our Regulatory Status: Oliva is a real estate brokerage licensed by the Real Estate Regulatory Agency (RERA) under the Dubai Land Department (DLD) pursuant to Bylaw 85 of 2006 concerning the Organization of the Real Estate Brokers Register in Dubai. Our Trade License number is 1573501 and our RERA Broker Registration Number (BRN) is 1573501.
3.2 Critical Regulatory Limitations: Oliva is NOT regulated by, and does NOT hold licenses from:
- the Central Bank of the United Arab Emirates (CBUAE) — we are not a financial institution, bank, or licensed lender, and we do not provide mortgage advice;
- the Securities and Commodities Authority (SCA) — we do not operate investment schemes or provide investment advice;
- the Dubai Financial Services Authority (DFSA) — we are not a DIFC-authorized firm; or
- any professional regulatory body for legal, tax, accounting, or other professional services.
3.3 Consequently, when we make referrals to providers of financial, legal, tax, or other regulated services, we are providing factual information and contact details only, not advice, recommendations, or regulated activities. In accordance with DFSA GEN Rule 2.11.1 and equivalent regulatory principles, our introductions constitute the provision of information, not the provision of advice.
RELATIONSHIP STRUCTURE AND LEGAL FRAMEWORK
4. Nature of Relationships
4.1 The following diagram illustrates the relationship structure for all third-party referrals:
| Relationship | Legal Characterization | Liability Allocation |
| Oliva ↔ Client | Brokerage relationship per Terms and Conditions | Per Terms and Conditions (brokerage services only) |
| Oliva ↔ Third-Party Provider | Introducer only; no agency, partnership, or employment | No liability to or for third party |
| Client ↔ Third-Party Provider | Direct service agreement (Oliva not a party) | Between client and provider per their agreement |
4.2 Express Negation of Relationships: Our referral to any Third-Party Provider does NOT create, and shall not be construed as creating:
- an agency relationship of any kind between Oliva and the Third-Party Provider;
- a joint venture, partnership, or association between Oliva and the Third-Party Provider;
- an employment or subcontracting relationship;
- any fiduciary duty by Oliva to you with respect to third-party services;
- authority for the Third-Party Provider to bind Oliva or create obligations on Oliva's behalf; or
- any endorsement, warranty, or guarantee by Oliva of the Third-Party Provider's services.
5. Scope of Oliva's Role in Referrals
5.1 What We Do: When making referrals, Oliva's role is strictly limited to:
- providing you with contact information for Third-Party Providers upon your request;
- sharing, with your consent, basic information about your requirements to facilitate initial discussions;
- providing general factual information about categories of services available; and
- disclosing any referral fee arrangements as required by this Framework.
5.2 What We Do NOT Do: Oliva expressly does NOT:
- assess the suitability of any Third-Party Provider or service for your specific circumstances;
- provide advice on whether to engage any Third-Party Provider;
- negotiate, review, or advise on terms between you and Third-Party Providers;
- supervise, monitor, or quality-control Third-Party Provider services;
- guarantee any outcome, timeline, quality standard, or pricing;
- represent that referred providers are the best, most suitable, or most competitive option;
- act as an intermediary for disputes between you and Third-Party Providers; or
- accept any responsibility for acts, omissions, negligence, or breach by Third-Party Providers.
MORTGAGE AND FINANCING REFERRALS
6. Nature of Mortgage Referrals
6.1 Upon your request, we may provide contact information for banks and mortgage brokers licensed to provide property financing in the United Arab Emirates. Such referrals are subject to the following critical terms and conditions.
CRITICAL REGULATORY DISCLAIMER: Oliva is NOT licensed by the Central Bank of UAE (CBUAE) to provide mortgage advice, conduct mortgage brokerage activities, or assess mortgage suitability. We do NOT hold a DLD Mortgage Consultancy license. Our role is limited to providing contact information for licensed providers. Any information we provide about mortgage products is factual and general in nature, not advice or recommendations. You MUST seek advice directly from licensed mortgage providers and conduct your own assessment of any financing arrangement.
6.2 Regulatory Status of Mortgage Providers: Mortgage services in the UAE are provided by:
- banks licensed by the Central Bank of UAE; and
- mortgage brokers registered with the Central Bank of UAE or operating under approved arrangements.
Before engaging any mortgage provider, you should independently verify their regulatory status with the CBUAE.
7. Limitations and Exclusions — Mortgage Services
7.1 No Guarantee of Approval or Terms: Mortgage approval is solely at the discretion of the lending institution based on their assessment of your creditworthiness, income, employment, property valuation, and other factors. We make no representation and provide no guarantee regarding:
- whether any mortgage application will be approved;
- loan-to-value ratios, loan amounts, or borrowing limits;
- interest rates, whether fixed or variable;
- processing fees, arrangement fees, or other charges;
- processing timelines or approval speed;
- mortgage product availability or continued offering; or
- suitability of any mortgage product for your circumstances.
7.2 Comprehensive Exclusion of Liability: We accept NO LIABILITY whatsoever for:
- mortgage approval or rejection;
- interest rates, fees, or terms offered or changed by lenders;
- delays in mortgage processing affecting transaction timelines;
- transaction failure due to financing not being secured;
- accuracy, completeness, or currency of information provided by mortgage providers;
- changes to mortgage products, policies, or eligibility criteria;
- suitability of any mortgage for your financial circumstances;
- any loss arising from your reliance on mortgage pre-approval or indicative terms;
- advice, recommendations, or conduct of mortgage brokers or bank officers; or
- any direct, indirect, consequential, or incidental loss arising from mortgage arrangements.
8. Referral Fee Disclosure — Mortgage Services
8.1 In the spirit of full transparency: When we refer you to mortgage broker partners, Oliva may receive a referral fee from the mortgage broker (not from you), typically approximately 0.25% to 0.5% of the loan amount (varying by partner and loan type).
8.2 This referral fee:
- is paid by the mortgage broker from their commission, NOT by you;
- does not affect the interest rate, loan amount, fees, or terms offered to you;
- is permitted under UAE banking regulations and industry practice; and
- will be specifically disclosed to you before any introduction is made upon your request.
8.3 Notwithstanding any referral arrangement, we select mortgage referral partners based on their regulatory compliance, service quality, product range, and responsiveness — not referral fee levels. You remain entirely free to use any mortgage provider of your choice, whether referred by us or not.
PROPERTY MANAGEMENT REFERRALS
9. Nature of Property Management Referrals
9.1 Upon your request, we may refer you to third-party property management companies licensed by RERA to manage residential properties in Dubai. Property management is a distinct RERA-licensed activity (Activity #17 — Third-Party Property Leasing and Management Services) requiring an AED 5 million bank guarantee, separate from real estate brokerage.
9.2 "Acting on Behalf of" Structure: When you engage a property manager through our referral:
- Direct Agency with You: The property manager acts as YOUR agent under a direct property management agreement between you and them. They are NOT Oliva's agent, subcontractor, or representative.
- Your Appointment: You grant authority to the property manager directly through their property management agreement and, where required, through a Power of Attorney (POA) for specific functions such as Ejari registration.
- Their Terms Apply: The property manager's terms of service, fee structure, and liability provisions (not Oliva's) govern the property management relationship.
- No Oliva Involvement: After initial introduction, Oliva has no ongoing involvement in, oversight of, or responsibility for property management services.
10. Scope of Property Management Services
10.1 Third-party property managers may provide the following services (scope varies by provider and service agreement):
- tenant sourcing, vetting, and referencing;
- tenancy agreement preparation and negotiation;
- Ejari (tenancy contract) registration with RERA;
- rent collection and arrears management;
- DEWA and utility account management;
- property maintenance coordination and emergency response;
- periodic property inspections and reporting;
- service charge monitoring and payment;
- tenant move-in and move-out coordination;
- security deposit handling and deduction assessment; and
- owner financial reporting and statement provision.
11. Comprehensive Exclusion of Liability — Property Management
CRITICAL DISCLAIMER: Oliva accepts ABSOLUTELY NO LIABILITY for any aspect of property management services provided by Third-Party Providers, regardless of whether the provider was referred by us. This exclusion is comprehensive, absolute, and applies to all matters arising from or connected with property management.
11.1 Without limiting the generality of the above, we accept NO LIABILITY for:
- Tenant-Related Matters: tenant selection, vetting quality, creditworthiness, references, employment verification, behavior, property care, lease compliance, or any tenant default, damage, or dispute;
- Rent Collection: rent collection effectiveness, arrears management, bounced cheques, enforcement action timing, Rental Dispute Settlement Centre (RDSC) proceedings, or recovery outcomes;
- Property Manager Performance: property manager competence, negligence, misconduct, breach of duty, failure to perform, delays, communication quality, or any act or omission;
- Financial Matters: fund handling, rent accounting, security deposit management, expense disbursements, owner fund remittance timing, or any financial irregularity;
- Property Condition: property maintenance, repairs, damage, deterioration, wear and tear assessment, snagging, or any physical condition of the property;
- Regulatory Compliance: Ejari registration, DEWA accounts, visa status of occupants, building compliance, or any regulatory matter related to the tenancy or property;
- Service Charges: service charge payments, arrears, increases, Owners Association matters, or any charges levied on the property; or
- Losses and Damages: any loss of rent, vacancy periods, property damage, tenant disputes, legal costs, or any other loss, cost, expense, or damage arising directly or indirectly from property management services.
INSPECTION AND SNAGGING REFERRALS
12. Nature of Inspection Services
12.1 Upon your request, we may provide contact information for property inspection and snagging service providers. These include pre-purchase inspection services, handover snagging reports for new properties, periodic property condition assessments, and technical surveys.
12.2 Oliva's Role: Our role is limited to providing contact information only. We do NOT:
- conduct, attend, supervise, or verify any inspection;
- review, validate, or endorse any inspection report;
- assess inspector qualifications, methodology, or standards; or
- guarantee any inspection outcome or completeness.
13. Critical Limitations of Property Inspections
13.1 Inherent Limitations: You must understand and accept the following inherent limitations of property inspections:
- Visual Assessment Only: Property inspections are typically visual, non-invasive assessments. Inspectors generally cannot examine concealed elements within walls, under flooring, above ceilings, or behind fixtures.
- No Guarantee: An inspection report does NOT guarantee the absence of defects, whether visible, concealed, latent, or structural. Defects may exist that were not identified, identifiable, or within the inspection scope.
- Point-in-Time Assessment: Inspections reflect property condition at a specific point in time. Conditions can change before purchase completion or handover.
- Scope Limitations: Inspections typically exclude specialist assessments such as structural engineering, MEP systems analysis, pest inspection, or environmental testing unless specifically commissioned.
- Your Responsibility: The decision to purchase based on inspection findings (or to proceed without independent inspection) is entirely yours. We strongly recommend commissioning your own independent technical surveys.
14. Comprehensive Exclusion of Liability — Inspection Services
14.1 We accept NO LIABILITY whatsoever for:
- accuracy, completeness, or reliability of any inspection report;
- defects, issues, or conditions not identified, reported, or discoverable by inspection;
- latent defects, structural issues, or problems emerging after inspection;
- inspector qualifications, competence, professional standards, or insurance;
- remediation of any identified or unidentified defects;
- any decision you make based on inspection findings or the absence of inspection; or
- any loss, cost, expense, or damage arising from inspection services or reliance thereon.
OTHER THIRD-PARTY SERVICE REFERRALS
15. Additional Service Categories
15.1 We may, from time to time and upon your request, facilitate introductions to providers of the following additional services:
| Service Category | Key Disclaimers and Limitations |
| Legal Services | We are not a law firm. Legal advice and representation are provided by independent lawyers. Verify lawyer licensing with relevant bar association. |
| Tax Advisory | We do not provide tax advice. Tax matters are complex and jurisdiction-specific. Consult qualified tax professionals for your home country and UAE obligations. |
| Currency Exchange | Currency providers are regulated by CBUAE. Exchange rates fluctuate. We do not guarantee rates, fees, or transfer timing. |
| Interior Design / Fit-Out | Design and construction quality varies. Review portfolios, references, and contracts carefully. We do not supervise fit-out work. |
| Moving / Relocation | Moving services involve risk of damage or loss. Ensure adequate insurance. We are not liable for moving service failures. |
| Insurance | Insurance is regulated by the Insurance Authority. We do not advise on coverage suitability. Review policies carefully. |
15.2 Uniform Principles Apply: For all service categories listed above and any other third-party referrals:
- Oliva acts as introducer only, not provider;
- services are provided directly by third parties under their own terms;
- we do not assess suitability or guarantee outcomes;
- we accept no liability for third-party performance; and
- you should conduct independent due diligence.
REFERRAL PARTNER REQUIREMENTS AND DUE
16. Oliva's Referral Partner Selection Criteria
16.1 While Oliva does not guarantee or endorse any Third-Party Provider, we apply the following general criteria when selecting providers for our referral network:
- Regulatory Compliance: Evidence of valid licenses, registrations, or authorizations required for their services in the UAE;
- Professional Insurance: Confirmation of professional indemnity insurance or equivalent coverage appropriate to the service category;
- Track Record: Reasonable operating history and market reputation;
- Service Standards: Demonstrated ability to deliver professional service standards; and
- Competitive Positioning: Reasonable fee structures relative to market standards.
16.2 No Representation or Warranty: Notwithstanding the above selection criteria, we make NO representation or warranty that:
- any referred provider meets any particular standard or will maintain such standards;
- referred providers are the best, most qualified, or most suitable options available;
- referred providers offer the most competitive pricing;
- our selection criteria are comprehensive or guarantee quality; or
- referred providers will perform satisfactorily for your specific needs.
17. Your Due Diligence Obligations
17.1 YOU ARE SOLELY RESPONSIBLE for conducting due diligence on any Third-Party Provider before engagement. This includes but is not limited to:
- verifying the provider's regulatory status, licenses, and registrations with relevant authorities;
- confirming the provider's insurance coverage and limits;
- reviewing the provider's terms of service, fee structure, and liability provisions;
- assessing the provider's suitability for your specific requirements;
- obtaining and checking references and reviews;
- comparing multiple providers to ensure competitive terms; and
- seeking independent professional advice where appropriate.
CONFLICTS OF INTEREST AND DISCLOSURE OBLIGATIONS
18. Potential Conflicts
18.1 We acknowledge that the following arrangements may create potential or perceived conflicts of interest:
- Referral Fee Arrangements: We may receive referral fees, commissions, or other payments from Third-Party Providers when referrals result in completed engagements. This creates an incentive to make referrals and to refer to partners with whom we have commercial arrangements.
- Preferred Partner Agreements: We may have preferred partner or marketing arrangements with certain providers that do not exist with all providers in the market.
- Volume Commitments: Some arrangements may include volume targets or tiered commission structures.
19. Conflict Management and Disclosure
19.1 We manage potential conflicts through the following measures:
- Disclosure: This Framework discloses the existence of referral arrangements generally. Specific referral fee details for any particular service category will be disclosed upon your request before any introduction is made.
- Selection Criteria: We select referral partners based on quality, compliance, and service factors — not solely on referral fee levels.
- No Obligation: You are under no obligation to use any referred provider. You remain free to engage any provider of your choice.
- No Exclusivity: Our referral arrangements are not exclusive. We may refer to multiple providers in the same category.
- Brokerage Independence: Referral arrangements do not affect our obligation to act in your interests as your broker for property transactions under RERA Bylaw 85.
19.2 Your Right to Disclosure: You have the right to request, and we will provide, disclosure of:
- whether we receive any referral fee from a specific provider;
- the approximate amount or percentage of any such fee; and
- the nature of any commercial arrangement with a specific provider.
LIMITATION OF LIABILITY
IMPORTANT — PLEASE READ THIS SECTION CAREFULLY
This section contains important limitations on our liability with respect to third-party service referrals. These limitations are in addition to, and do not replace, the limitation of liability provisions in our Terms and Conditions, which continue to apply to our brokerage services.
20. Complete Exclusion of Liability for Third-Party Services
20.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OLIVA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL HAVE ABSOLUTELY NO LIABILITY WHATSOEVER arising from, connected with, or in any way related to:
- any services provided by any Third-Party Provider, whether referred by us or not;
- any act, omission, negligence, breach, default, fraud, or misconduct by any Third-Party Provider;
- the quality, timeliness, accuracy, completeness, or fitness for purpose of any third-party services;
- any information, advice, or recommendations provided by Third-Party Providers;
- the terms, pricing, or contractual provisions of agreements between you and Third-Party Providers;
- disputes between you and any Third-Party Provider;
- regulatory compliance, licensing, or insurance status of any Third-Party Provider;
- your decision to engage or not engage any Third-Party Provider; or
- any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from third-party services.
21. Liability Cap for Referral Activities
21.1 To the extent any liability of Oliva arises solely from the act of making a referral (as distinct from third-party service provision), such liability shall be subject to the limitation of liability provisions in our Terms and Conditions. Specifically, our total aggregate liability shall not exceed the lower of:
- the total commission and fees actually paid by you to Oliva in connection with the relevant property transaction; or
- AED 50,000 (Fifty Thousand Dirhams).
22. Non-Excludable Liability
22.1 Nothing in this Framework excludes or limits our liability for:
- fraud or fraudulent misrepresentation by Oliva;
- gross negligence or willful misconduct by Oliva;
- death or personal injury caused by our negligence; or
- any other liability that cannot be lawfully excluded or limited under UAE law.
23. UAE Civil Code Acknowledgment
23.1 You acknowledge that under UAE Civil Code Article 390, courts retain discretion to vary agreed liability limitations to reflect actual damages suffered. Notwithstanding this judicial discretion, you confirm that:
- the liability limitations in this Framework represent a fair allocation of risk between Oliva (as introducer only) and you;
- you have had the opportunity to obtain your own insurance or other protection against losses arising from third-party services;
- Oliva has no control over third-party services and cannot fairly bear liability for them; and
- you voluntarily accept this allocation of risk.
INDEMNIFICATION
24. Your Indemnification Obligations
24.1 You agree to indemnify, defend, and hold harmless Oliva, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and disbursements at full indemnity basis) arising from or in connection with:
- any services provided to you by any Third-Party Provider;
- any dispute between you and any Third-Party Provider;
- any claim by a Third-Party Provider against Oliva arising from your engagement or conduct;
- your breach of any agreement with a Third-Party Provider;
- any loss or damage arising from your reliance on information provided by Third-Party Providers;
- any claim that Oliva is liable for third-party services by reason of referral, agency, or otherwise; or
- any inaccurate, false, or misleading information provided by you to Third-Party Providers.
24.2 This indemnification obligation:
- is in addition to, and does not limit, your indemnification obligations under our Terms and Conditions;
- survives termination of your relationship with Oliva; and
- extends to claims made by third parties against Oliva as well as direct claims.
DATA SHARING AND PRIVACY
25. Consent to Data Sharing
25.1 To facilitate third-party referrals, we may need to share certain of your personal data with Third-Party Providers. By accepting a referral, you consent to us sharing:
- your name and contact details;
- basic information about your service requirements;
- property details relevant to the service (e.g., address, type, value);
- such other information as reasonably necessary to facilitate the initial introduction.
25.2 Third-Party Data Processing: Once your data is shared with a Third-Party Provider, they process your data as an independent data controller under their own privacy policy and in accordance with UAE PDPL and any other applicable data protection laws. We are not responsible for Third-Party Providers' data processing practices.
25.3 For full details of how we handle your personal data, please refer to our Privacy Policy.
FUTURE DIRECT SERVICES
26. Transition Clause
26.1 Oliva may, in the future, establish, acquire, or develop capabilities to provide property management, inspection, or other services directly rather than through referrals. In such event:
- such services will be offered under separate, dedicated terms and conditions with their own scope and liability provisions;
- existing third-party referral options will continue to be available in parallel;
- you will have the choice of using Oliva's direct services or third-party services; and
- different terms, liability provisions, and pricing may apply to direct services.
26.2 This Framework governs referrals to third parties only and does not apply to any future direct services, which will be subject to their own governing documents.
DISPUTE RESOLUTION
27. Governing Law
27.1 This Framework is governed by and shall be construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai.
28. Disputes Concerning Referrals
28.1 Disputes with Third-Party Providers: Any dispute arising from services provided by a Third-Party Provider is between you and that provider. Such disputes should be resolved in accordance with the dispute resolution provisions in your agreement with that provider. Oliva is not a party to such disputes and has no obligation to mediate, arbitrate, or otherwise resolve them.
28.2 Disputes Concerning This Framework: Any dispute arising from or in connection with this Framework or our referral activities shall be resolved in accordance with the dispute resolution provisions in our Terms and Conditions, including:
- initial resolution through direct negotiation;
- RERA dispute resolution mechanisms where applicable;
- exclusive jurisdiction of the Courts of Dubai; and
- DIAC arbitration for claims exceeding AED 500,000 at either party's election.
29. Limitation Period
29.1 Any claim arising from or in connection with this Framework or our referral activities must be commenced within TWO (2) YEARS from the date the cause of action arose. Claims not brought within this period are time-barred.
GENERAL PROVISIONS
30. Amendments
30.1 We may amend this Framework from time to time by posting the updated version on our Platform. Material changes will be notified via email. The "Effective Date" indicates the most recent revision.
31. Severability
31.1 If any provision of this Framework is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
32. Language
32.1 This Framework is provided in English and may be translated into Arabic for regulatory compliance. In case of conflict between versions, the Arabic version shall prevail in UAE Courts, while the English version shall prevail in DIAC arbitration where English is the selected language.
